Shireen A. Barday

Partner

Shireen serves as a principal in a wide range of complex commercial litigation matters, with a particular focus on business disputes involving fiduciary duties and allegations of fraud or other misconduct.  Although Shireen has represented companies and individuals across a wide range of industries, she also has particular experience in counselling life science and biotech companies in connection with commercial disputes relating to milestone payments, royalties, commercially reasonable and best efforts, and issues relating to supplier and manufacturing contracts.  She has served as lead counsel for plaintiffs and defendants in litigation across the U.S. relating to M&A transactions, lending activities, securities and corporate governance issues, contractual disputes and contested restructuring matters.  Shireen regularly appears in Delaware and other courts around the country where she has represented private equity funds, portfolio companies, issuers, directors and officers in class action and other high stakes litigation.

Shireen’s recent work highlights include:*

Bull Hill, LLC et al. v. HFZ Member RB Portfolio LLC et al. (N.Y. Comm. Div.): Representing institutional investors in a derivative lawsuit seeking in excess of $650 million in damages for misconduct, including breaches of fiduciary duties and fraud. Preliminary injunction and status quo order presently in place prohibiting subject entities from taking further wrongful actions during the pendency of litigation.

Assertio Therapeutics, Inc. v. Collegium Pharmaceuticals (Del. Super.): Represented Assertio Therapeutics in connection with litigation relating to reverse distribution component of asset purchase agreement.  Obtained favourable settlement.

Representing The Trevor Project in connection with friend of the court submissions relating to LGBTQ+ rights.

Shireen currently serves on the board of directors of the Off-Broadway, not-for-profit theater, Primary Stages.  She previously served on the Board of the National Center for Law and Economic Justice, and has been a member of the Magistrate Judge Merit Selection Panel for the Southern District of New York. Shireen is also a member of Law360’s 2023 Life Sciences Editorial Advisory Board.

    Pallas Partners Supports The Trevor Project

    Our New York Partner Shireen Barday and Associate Mark Davies filed an amicus brief on behalf of the The Trevor Project in connection with a challenge to a transgender sports ban in Arizona. The brief had a positive impact: the Fifth Circuit Court of Appeals affirmed an order from the Arizona District Court preliminarily enjoining the State of Arizona from barring two transgender girls from playing on school sports teams consistent with their gender identity.
