Ben Hilton

Associate

Ben’s practice focuses on international corporate and commercial litigation. He has experience acting for public and private companies, funds, financial institutions and individuals on financial services, banking and finance, shareholder, securities, civil fraud and M&A disputes across a range of sectors. He also advises on FCA and other regulatory investigations.

Ben has an active pro bono practice. He has been a regular lead adviser at the University House General and Family Legal Advice Clinics and has appeared in the Family Court on a number of occasions, including obtaining protective orders for victims of domestic abuse. He has also advised on the Criminal Injuries Compensation Scheme and acted on a Privy Council appeal concerning LGBTQ+ rights.

Civil Fraud and Shareholder Dispute

Acted for the former CEO of a technology company in shareholder litigation and civil fraud claims brought by the company with a value of over £300 million.

 

Securities Litigation

Acted for the former Chair of Glencore in securities litigation claims exceeding £300 million arising from Glencore’s IPO.

 

Warranty & Insurance Claims

Acted for a global infrastructure fund in warranty and indemnity insurance (W&I) claims and W&I insurance claims worth over £100 million arising from the acquisition of a group of software companies.

 

Enforcement, Insolvency and Restructuring Dispute

Acted for a creditor of an energy company in relation to enforcement of a foreign judgment, and insolvency and restructuring proceedings.

 

Hostile Takeover and Shareholder Dispute

Acted for a public company in a dispute arising from a $10 billion hostile takeover bid and related actions taken by the board.

 

Bondholder Dispute

Acted for a borrower in a dispute arising from actions taken by the company under £400 million syndicated loan agreement.

 

Minority Shareholder Dispute

Acted for the shareholder-director of a manufacturing company on an unfair prejudice petition arising from debt and equity fundraisings.

 

F1 Dispute

Acted on a dispute between an F1 team and a race driver.

 

Cryptocurrency Dispute

Acted for the claimant against Bitcoin developers for breaches of tortious and fiduciary duties arising from the alleged theft of private keys to Bitcoin with a value of over £4 billion.

 

FCA Investigation

Acted for a global asset manager in responding to an FCA investigation concerning insider trading. Ben has also acted on other confidential investigations involving other UK regulators.
